These Terms of Service (“Terms”) constitute a legally binding agreement between you and anecNote AI (“anecNote,” “we,” “our,” or “us”) governing your access to and use of the anecNote platform, including our websites, web applications, mobile applications, software, artificial intelligence features, content, products, and related services (collectively, the “Service”).

1. Acceptance of These Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a school, school district, childcare center, educational organization, or other entity, you represent and warrant that you have the authority to bind that organization to these Terms. By creating an account or using the Service, you agree to receive electronic communications from anecNote relating to your account and the operation of the Service.

2. About anecNote

AnecNote is a documentation platform designed to help educators capture, organize, and develop meaningful records of student learning. The Service combines voice, photographs, written observations, artificial intelligence-assisted drafting, reporting tools, and related features to support educational documentation, assessment, and professional reflection.

AnecNote is intended to reduce the administrative burden of documentation while helping educators maintain high-quality records that support student growth, family communication, collaboration, and educational decision-making.

The Service is designed for professional educational use and is not intended for personal social networking, public content sharing, or general-purpose artificial intelligence interactions.

2.1 Who May Use the Service

AnecNote is designed for use by authorized educational professionals and organizations, including, but not limited to:

• Classroom teachers.
• Early childhood educators.
• Learning support teachers.
• Counselors.
• Specialists and intervention staff.
• School administrators.
• Childcare providers.
• Educational organizations and school systems.

The availability of specific features may vary depending on the user’s role, subscription plan, and organization settings.

Students are not intended to create or manage anecNote accounts unless expressly authorized through a future feature or service offering.

2.2 Services We Provide

2.3 Anec Assist

Certain features within the Service use artificial intelligence to assist educators with drafting documentation, organizing information, generating summaries, suggesting learning stories, identifying patterns, and supporting educational workflows.

Anec Assist is designed to assist, not replace, the professional judgment of educators.

AI-generated content may contain inaccuracies, omissions, or incomplete information. Users remain solely responsible for reviewing, editing, verifying, and approving all AI-generated content before it is saved, shared, exported, or relied upon for educational purposes.

2.4 Availability of the Service

AnecNote is provided as an online software service and may be accessed through supported web browsers, mobile applications, and other platforms that we make available.

We continually improve the Service and may:

• Retire features.
• Expand platform compatibility.
• Improve performance and reliability.
• Release experimental or beta functionality.

Although we strive to provide a reliable service, uninterrupted availability cannot be guaranteed.

2.5 Educational Purpose

AnecNote is intended to support educational documentation and professional practice. The Service is not intended to provide legal, medical, psychological, diagnostic, therapeutic, or other professional advice.

Educators and educational organizations remain responsible for making instructional, administrative, safeguarding, disciplinary, assessment, and educational decisions. Use of the Service does not replace professional judgment, school policies, or applicable legal obligations.

2.6 Our Mission

Our mission is to help educators spend less time on paperwork and more time supporting student learning.

We believe thoughtful documentation should be simple, secure, and meaningful. By combining educator expertise with carefully designed technology, including responsible artificial intelligence, anecNote aims to help schools and educators create richer educational records while maintaining privacy, professionalism, and trust.

3. Eligibility and Accounts

To use anecNote, you must create an account unless access is provided through another authorized method made available by anecNote.

You represent and warrant that:

• You are legally capable of entering into a binding agreement.
• The information you provide is accurate, complete, and current.
• You will keep your account information up to date.
• You will use the Service only in accordance with these Terms and applicable law.

If you are creating or using an account on behalf of an educational organization, you represent that you have the authority to do so and to bind that organization to these Terms.

3.1 Eligibility

AnecNote is intended for use by educators and other authorized educational professionals.

You may use the Service if you:

• Are at least the age of majority in your jurisdiction, or otherwise have the legal capacity to enter into these Terms.
• Are authorized by your educational organization, where applicable.
• Comply with these Terms and all applicable laws.

The Service is not intended for direct use by children or students unless anecNote expressly introduces a feature that permits such use under separate terms.

3.2 Account Registration

When registering an account, you may be asked to provide information such as:

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

• Notify anecNote promptly if you believe your account has been compromised.
• Log out of shared devices after use.

You must not share your account credentials with another individual or allow another person to access the Service using your account.

3.4 Organizational Accounts

For organizational accounts:

• The educational organization may administer your account.
• Administrators may assign roles and permissions.
• Administrators may add, suspend, modify, or remove user access.

Educational organizations remain responsible for managing user access within their own environments.

3.5 Account Ownership

Unless otherwise agreed in writing:

• Individual subscription accounts are owned by the individual who created the account.
• Organizational accounts are administered by the educational organization responsible for the workspace.
• Student records and educational documentation remain subject to the rights and responsibilities of the applicable educational organization.

Nothing in these Terms transfers ownership of educational records to anecNote.

3.6 Multiple Accounts

Users may not create multiple accounts for the purpose of:

• Circumventing subscription limits.
• Avoiding usage restrictions.
• Bypassing suspensions or enforcement actions.
• Engaging in fraudulent or abusive activity.

AnecNote may merge, suspend, or terminate duplicate or abusive accounts at its discretion.

3.7 Account Suspension or Closure

You may close your account at any time through the Service, where available, or by contacting anecNote.

AnecNote may suspend or terminate an account in accordance with Section 12 – Suspension and Termination, including where:

• These Terms are violated.
• Fraudulent or unlawful activity is suspected.
• Continued access poses a security risk.
• Required by law or a court order.
• Necessary to protect the Service or other users.

Suspension or termination of an account does not automatically delete information where retention is required by law, contractual obligations, or the applicable educational organization.

3.8 Responsibility for Your Account

You are responsible for all activity conducted through your account, whether performed by you or by someone who gains access using your credentials.

You agree to use the Service responsibly, safeguard your account, and promptly report any unauthorized access, suspected security incident, or misuse of your account.

Failure to take reasonable steps to protect your account may result in unauthorized activity for which you may be responsible, to the extent permitted by applicable law.

4. Subscription Plans and Billing

AnecNote offers both free and paid subscription plans. Available features, usage limits, pricing, and subscription options may vary depending on your selected plan, your educational organization, and your geographic location.

Current plan details, pricing, and feature availability are described on the anecNote website and may be updated from time to time.

4.1 Subscription Plans

4.2 Free Plans

Free plans are intended to allow users to explore and use core anecNote functionality.

Free plans may include limitations on:

• Number of classes.
• Number of students.
• Monthly captures.
• AI-assisted features.
• Reports.
• Storage.
• Other Service features.

AnecNote may modify or discontinue free plans or their features at any time, subject to applicable law.

4.3 Paid Subscriptions

Paid subscriptions provide access to additional features and increased usage limits.

Subscription fees, billing frequency, renewal terms, and included features are presented during the purchase process.

Your subscription begins when payment is successfully processed unless otherwise specified.

4.4 Billing and Payment

You agree to pay all applicable subscription fees, taxes, and other charges associated with your selected subscription.

Payments may be processed by third-party payment providers authorized by anecNote.

By purchasing a subscription, you authorize the applicable payment provider to charge your selected payment method for:

• Subscription fees.
• Applicable taxes.
• Renewal charges.
• Other authorized charges related to your subscription.

AnecNote does not store complete payment card information.

4.5 Automatic Renewal

Unless otherwise stated during purchase or required by applicable law, paid subscriptions automatically renew at the end of each billing period until canceled.

By purchasing a recurring subscription, you authorize recurring billing using your selected payment method.

You may cancel automatic renewal at any time before the next renewal date. Cancellation prevents future renewal charges but does not automatically entitle you to a refund for the current billing period.

4.6 Subscription Changes

You may upgrade or downgrade your subscription, subject to the options available for your account.

When changing subscription plans:

• New pricing may apply immediately or at the next billing cycle.
• Available features may change.
• Usage limits may increase or decrease.
• Certain premium features may become unavailable after a downgrade.

4.7 Organizational Billing

Where an educational organization purchases subscriptions for its users:

• The organization is responsible for payment under its agreement with anecNote.
• Individual users generally are not responsible for organizational subscription fees.
• Access to paid features depends on the organization’s active subscription.

Additional billing terms may be established through separate written agreements with educational organizations.

4.8 Taxes

Subscription fees may exclude applicable taxes unless otherwise stated.

You are responsible for paying any taxes, duties, levies, or similar governmental charges associated with your purchase, except for taxes imposed on anecNote’s income.

4.9 Refunds

Except where required by applicable law or expressly stated during the purchase process, subscription fees are non-refundable.

Nothing in these Terms limits any mandatory consumer rights that cannot be waived under applicable law.

If you believe you have been charged in error, please contact anecNote promptly so we can review the matter.

4.10 Promotional Offers

From time to time, anecNote may offer:

• Free trials.
• Promotional pricing.
• Discount codes.
• Educational discounts.
• Referral programs.
• Limited-time offers.

Promotional offers are subject to their own terms and may be modified or withdrawn at any time unless prohibited by applicable law.

4.11 Changes to Pricing

AnecNote may change subscription pricing, features, or usage limits from time to time.

If pricing changes affect an active paid subscription, we will provide notice as required by applicable law before the new pricing becomes effective.

Continued use of the Service after the effective date of a pricing change constitutes acceptance of the updated pricing unless you cancel your subscription before renewal.

4.12 Failure to Pay

If payment cannot be successfully processed, anecNote may:

• Retry the payment.
• Suspend access to paid features.
• Downgrade the account to an available free plan, where applicable.
• Restrict certain functionality.
• Terminate the subscription after reasonable notice, where permitted by law.

Outstanding payment obligations remain payable even if access to paid features is suspended.

4.13 Subscription Availability

Subscription plans, pricing, payment methods, and available features may vary by country, platform, reseller, educational organization, or distribution channel.

Some features may only be available on specific subscription plans or through organizational agreements.

5. Acceptable Use

AnecNote is intended to support professional educational documentation and collaboration. You agree to use the Service responsibly, ethically, and in accordance with these Terms, applicable laws, and the policies of your educational organization.

You are responsible for all activity conducted through your account and for ensuring that your use of the Service respects the rights, privacy, and safety of others.

5.1 Permitted Use

Subject to these Terms, you may use the Service to:

• Create and manage educational documentation.
• Record observations using supported capture methods.
• Generate and review AI-assisted documentation.
• Organize student records and learning evidence.
• Prepare educational reports and summaries.
• Collaborate with authorized members of your educational organization.
• Export documentation where supported by the Service.
• Use anecNote for other legitimate educational and administrative purposes.

Your use of the Service must remain consistent with its intended educational purpose.

5.2 Prohibited Activities

You agree not to use the Service to:

• Violate any applicable law, regulation, or court order.
• Use the Service for fraudulent, deceptive, or unlawful purposes.

Misuse Educational Information

• Upload or share information that you are not authorized to access or disclose.
• Use educational records for purposes unrelated to legitimate educational activities.
• Share confidential student information with unauthorized individuals.
• Attempt to identify, track, or profile individuals beyond legitimate educational purposes.
• Upload information that infringes another person’s privacy or legal rights.

Misuse Artificial Intelligence Features

• Present AI-generated content as verified without appropriate professional review.
• Use AI-generated content to make automated decisions about students without educator oversight.
• Intentionally submit misleading or harmful prompts to generate unlawful or abusive content.
• Use Anec Assist in a manner inconsistent with these Terms or applicable law.

Harm Others

You must not use the Service to create, upload, transmit, or distribute content that:

• Is unlawful.
• Is defamatory, threatening, or harassing.
• Promotes violence or criminal activity.
• Contains discriminatory or hateful material.
• Infringes intellectual property rights.
• Violates the privacy or confidentiality of another person.
• Contains malicious software or harmful code.

5.3 Responsible Educational Use

Because anecNote is designed for educational environments, users are expected to exercise professional judgment when creating, reviewing, sharing, or exporting documentation.

Users remain responsible for ensuring that:

• Documentation is accurate to the best of their knowledge.
• Student information is handled confidentially.
• Appropriate permissions are obtained where required.
• Reports are reviewed before distribution.
• AI-generated content is carefully verified before use.

The Service is intended to support, not replace, the professional expertise and responsibilities of educators.

5.4 Account Misuse

You must not:

• Share your account credentials with another person.
• Allow another individual to use your account.
• Create accounts using false identities.
• Create multiple accounts to evade usage limits or enforcement actions.
• Attempt to access another user’s account without authorization.

You are responsible for maintaining the security of your account as described in Section 3 – Eligibility and Accounts.

5.5 Intellectual Property and Content

You must respect the intellectual property and legal rights of others when using the Service.

You may not upload or distribute content that:

• Infringes copyrights, trademarks, patents, or other intellectual property rights.
• Violates contractual or confidentiality obligations.
• Is used without the necessary rights, permissions, or licenses.

5.6 Enforcement

AnecNote reserves the right to investigate suspected violations of these Terms.

Timely reporting helps protect the security of the Service and the educational communities that rely on it.

6. Educational Content and User Responsibilities

AnecNote enables educators and educational organizations to create, organize, review, and manage educational documentation. Users remain responsible for the content they create, upload, generate, review, share, or export through the Service.

Nothing in these Terms transfers ownership of educational records, student documentation, or user-created content to anecNote.

6.1 Your Content

You retain ownership of the educational documentation and other content that you create or upload to the Service, subject to the rights of your educational organization and applicable law.

Content may include:

• Educational observations.
• Student records.
• Learning stories.
• Progress reports.
• Voice observations.
• Photographs.
• Notes and reflections.
• Uploaded files.
• AI-reviewed or AI-assisted documentation.
• Other materials submitted through the Service.

Where educational documentation is created as part of your employment or engagement with an educational organization, ownership and control of that content may be governed by your employment agreement, school policies, or other applicable agreements.

6.2 License Granted to anecNote

To operate and provide the Service, you grant anecNote a limited, non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, transmit, display, format, analyze, and otherwise use your content solely as necessary to:

• Provide the Service.
• Authenticate users.
• Generate AI-assisted documentation.
• Synchronize information across devices.
• Create reports requested by users.
• Back up and restore data.
• Maintain security.
• Troubleshoot technical issues.
• Improve the reliability and operation of the Service.
• Comply with legal obligations.

This license exists only for the purpose of operating and improving the Service and does not transfer ownership of your content to anecNote.

Except as described in these Terms, our Privacy Policy, or as required by law, anecNote will not use your content for unrelated commercial purposes.

6.3 Educational Records

Educational records created through the Service remain under the control of the applicable educational organization where required by law or contractual agreement.

AnecNote acts as a technology provider that processes educational information to deliver the requested services. Educational organizations remain responsible for determining:

• How long records are retained.
• When records are corrected, exported, or deleted.
• Compliance with their legal and regulatory obligations.

Nothing in these Terms grants anecNote ownership of educational records.

6.4 Your Responsibilities

You are responsible for ensuring that the content you create, upload, or share through the Service:

• Is created for legitimate educational purposes.
• Does not knowingly infringe the rights of others.
• Complies with applicable laws, school policies, and contractual obligations.

You are also responsible for obtaining any permissions, notices, or consents required by applicable law or your educational organization before collecting or uploading information.

6.5 Artificial Intelligence Outputs

Anec Assist may generate documentation drafts, summaries, learning stories, suggested wording, or other AI-assisted outputs based on the information you provide.

You remain solely responsible for:

• Reviewing all AI-generated content.
• Correcting inaccuracies.
• Editing language where appropriate.
• Verifying factual information.
• Determining whether generated content is suitable for educational use before saving, sharing, exporting, or distributing it.

AI-generated content is intended to assist professional educators and should not be treated as independently verified or authoritative.

6.6 Content Standards

Users must not upload, create, or distribute content that:

• Violates applicable law.
• Infringes intellectual property rights.
• Violates another person’s privacy or confidentiality.
• Contains malicious software or harmful code.
• Is fraudulent or intentionally misleading.
• Promotes unlawful conduct.
• Is abusive, discriminatory, or harassing.

AnecNote reserves the right to remove or restrict access to content that violates these Terms or applicable law.

6.7 Feedback and Suggestions

If you voluntarily provide suggestions, feature requests, ideas, recommendations, or other feedback regarding the Service, you grant anecNote a non-exclusive, perpetual, irrevocable, worldwide, royalty-free license to use, modify, incorporate, publish, and otherwise exploit that feedback for the purpose of developing, improving, marketing, or operating the Service without compensation to you.

6.8 Exporting and Removing Content

7. Anec Assist (Artificial Intelligence)

AnecNote includes artificial intelligence features collectively referred to as Anec Assist. These features are designed to help educators create, organize, review, and refine educational documentation more efficiently.

Anec Assist is intended to support professional educators by generating drafts, summaries, suggestions, and other assistance based on information provided by users. It does not replace professional judgment or make educational decisions on behalf of users or educational organizations.

7.1 AI-Assisted Features

Depending on your subscription plan and available functionality, Anec Assist may be used to:

7.2 Human Review Required

All AI-generated content must be reviewed by an authorized educator before it is:

• Shared with families.

Users remain solely responsible for ensuring that AI-generated content is accurate, complete, appropriate, and consistent with professional standards.

7.3 Professional Judgment

Anec Assist is a productivity tool, not an educational decision-maker.

Users remain responsible for all professional decisions, including:

• Assessment.
• Student evaluation.
• Grading.
• Educational planning.
• Intervention decisions.
• Behavioral decisions.
• Safeguarding decisions.
• Communication with families.
• Compliance with school policies and applicable laws.

Nothing generated by Anec Assist should be interpreted as legal, medical, psychological, therapeutic, or educational advice.

7.4 AI Limitations

Artificial intelligence is an evolving technology and may produce outputs that are:

• Inaccurate.
• Incomplete.
• Outdated.
• Biased.
• Inconsistent.
• Incorrectly interpreted.

For this reason, users should carefully review all AI-generated content before relying on it.

AnecNote does not guarantee the accuracy, completeness, or suitability of AI-generated outputs.

7.5 Responsible Use

You agree not to use Anec Assist to:

• Generate unlawful content.
• Create deceptive or fraudulent documentation.
• Produce content intended to harass, discriminate against, or harm others.
• Circumvent applicable laws or school policies.
• Attempt to exploit, manipulate, or interfere with AI systems in a manner that disrupts the Service.
• Use AI-generated content without appropriate educator review where such review is required.

Users are responsible for ensuring that AI-assisted documentation remains truthful, professionally appropriate, and aligned with legitimate educational purposes.

7.6 AI Service Providers

Anec Assist may rely on third-party artificial intelligence technologies and service providers to process user inputs and generate AI-assisted outputs.

Information submitted to these services is processed only as necessary to provide the requested AI functionality and in accordance with our Privacy Policy and applicable agreements with those providers.

7.7 Availability of AI Features

AI-assisted functionality may:

• Differ between subscription plans.
• Be unavailable in certain countries or jurisdictions.
• Require an active internet connection.
• Be modified, improved, replaced, or discontinued over time.
• Be subject to usage limits or fair use policies.

AnecNote does not guarantee the uninterrupted availability of AI features.

7.8 Feedback and Improvement

To improve the quality, reliability, and usability of Anec Assist, anecNote may evaluate AI performance using user feedback, error reports, operational metrics, and other information processed in accordance with the Privacy Policy.

Where educational content is used for quality assurance or service improvement, it will be handled in accordance with applicable law, contractual obligations, and our privacy commitments.

7.9 No Automated Decision-Making

Anec Assist is designed to support educator workflows and is not intended to make automated decisions that produce legal, disciplinary, educational, or similarly significant effects for students.

Final responsibility for reviewing documentation, interpreting observations, communicating with families, and making educational decisions always remains with the educator or educational organization using the Service.

8. Intellectual Property

The Service, including its software, technology, design, functionality, artificial intelligence systems, and related materials, is owned by or licensed to anecNote and is protected by applicable intellectual property and other laws.

Except for the limited rights expressly granted under these Terms, no ownership or other rights in the Service are transferred to you.

8.1 Ownership of the Service

AnecNote and its licensors retain all right, title, and interest in and to the Service, including:

• User interface designs.

You may not use anecNote’s trademarks without our prior written permission, except as necessary to accurately identify the Service or as otherwise permitted by applicable law.

8.4 Open Source Software

Certain components of the Service may incorporate or rely upon open source software distributed under separate open source licenses.

Nothing in these Terms limits your rights under applicable open source licenses. Information regarding open source components may be made available upon request or through the Service where required by the applicable license.

8.5 Intellectual Property of Others

You agree to respect the intellectual property rights of third parties when using the Service.

You must not upload, distribute, or otherwise use content through the Service that infringes another person’s copyright, trademark, patent, trade secret, or other proprietary rights.

8.6 AI Technology

The artificial intelligence technologies, workflows, prompts, system architecture, models, and supporting technologies used to provide Anec Assist are part of the Service and remain the intellectual property of anecNote and/or its licensors, subject to the rights of applicable third-party providers.

Your use of AI-generated outputs does not grant you ownership of the underlying AI systems, models, or technologies used to generate those outputs.

8.7 Reservation of Rights

Except for the limited license expressly granted in these Terms, anecNote reserves all rights not expressly granted to you.

No license or other right shall be implied by estoppel, waiver, or otherwise.

8.8 Copyright Complaints

If you believe that material made available through the Service infringes your copyright or other intellectual property rights, please notify anecNote using the contact information provided in Section 18 – Contact Information.

Your notice should include sufficient information to enable us to identify the allegedly infringing material, investigate the claim, and respond appropriately. Where required by applicable law, anecNote may remove or disable access to allegedly infringing material while the matter is reviewed.

We welcome feedback from our users. Suggestions, ideas, feature requests, comments, and other feedback help us improve anecNote and better serve educators and educational organizations.

9.1 Voluntary Feedback

If you voluntarily submit feedback to anecNote, including through the Service, customer support, surveys, interviews, beta programs, email, community discussions, or other communication channels, you acknowledge that the feedback is provided voluntarily and without any expectation of compensation.

Feedback may include:

• Feature requests.
• Product ideas.
• Enhancement suggestions.
• User experience recommendations.
• Bug reports.

9.2 License to Use Feedback

From time to time, anecNote may invite users to participate in beta programs, preview releases, pilot projects, or early access features.

Unless separate terms apply, feedback provided during these programs is subject to this Section and may be used by anecNote to improve, refine, test, or develop current and future versions of the Service.

Participation in beta programs is voluntary and does not create any obligation for anecNote to release or continue a particular feature.

9.5 Public Testimonials

If you voluntarily provide a public testimonial, review, or endorsement of anecNote, we may request your permission to display or reference that testimonial in our marketing materials, website, or promotional content.

We will not attribute testimonials to you in promotional materials without your permission, except where the testimonial has already been made publicly available by you and applicable law permits such use.

AnecNote is continually developed and improved to better support educators and educational organizations. As part of this ongoing development, we may introduce new features, improve existing functionality, perform maintenance, and release experimental features from time to time.

While we strive to provide a reliable and secure Service, uninterrupted or error-free availability cannot be guaranteed.

11.1 Service Availability

We use commercially reasonable efforts to make the Service available and accessible.

However, the Service may occasionally be unavailable due to:

• Scheduled maintenance.
• Emergency maintenance.
• Security updates.
• Software releases.
• Infrastructure upgrades.
• Third-party service interruptions.

They do not constitute a commitment or guarantee that any particular feature, functionality, integration, or capability will be developed, released, or maintained.

Users should make purchasing and operational decisions based on the features currently available rather than on anticipated future functionality.

12. Suspension and Termination

These Terms remain in effect for as long as you access or use the Service or maintain an active account with anecNote.

Either you or anecNote may end this relationship in accordance with this Section.

12.1 Termination by You

You may stop using the Service at any time.

Where available, you may close your account through the Service or by contacting anecNote.

Termination of your account does not automatically:

• Cancel outstanding payment obligations.
• Result in a refund except where required by applicable law or expressly provided in your subscription terms.
• Delete information that must be retained under applicable law, contractual obligations, or the policies of an educational organization.

If you use the Service through an educational organization, your ability to terminate or delete your account may depend on that organization’s account management policies.

12.2 Suspension by anecNote

AnecNote may temporarily suspend access to all or part of the Service where reasonably necessary to:

• Protect the security of the Service.
• Investigate suspected violations of these Terms.
• Prevent fraud, abuse, or unlawful activity.

12.3 Termination by anecNote

12.4 Organizational Accounts

Where an account is provided through a school, school district, childcare center, or other educational organization:

• The organization may control user access.
• Administrators may suspend or remove users in accordance with organizational policies.
• Access may end when your relationship with the organization ends.
• Educational records remain subject to the organization’s ownership, retention policies, and applicable law.

Termination of an individual’s access does not necessarily delete organizational records or educational documentation.

12.5 Effect of Termination

Upon termination or expiration of your account:

• Your right to access and use the Service ends.
• Subscription benefits may cease.
• Certain information may remain available to the educational organization that owns or administers the records.
• Information may be retained where required by law, contractual obligations, backup procedures, or legitimate business purposes consistent with the Privacy Policy.

Termination does not affect any rights or obligations that accrued before termination.

12.6 Surviving Provisions

While anecNote is committed to providing a reliable, secure, and continually improving platform, certain aspects of the Service depend on technology, third-party providers, user input, and other factors outside our direct control.

Except to the extent prohibited by applicable law, the following disclaimers apply.

13.1 Service Provided “As Is”

The Service is provided on an “as is” and “as available” basis.

To the fullest extent permitted by applicable law, anecNote disclaims all warranties, representations, and guarantees, whether express, implied, statutory, or otherwise, including any implied warranties of:

Users are solely responsible for reviewing, verifying, editing, and approving all AI-generated content before relying on it for educational purposes.

AnecNote does not guarantee the accuracy, completeness, or suitability of AI-generated outputs.

13.4 User Content

AnecNote does not independently verify the accuracy, legality, completeness, or appropriateness of information created, uploaded, or shared by users.

Users remain solely responsible for:

• The content they create.
• Educational documentation they publish.
• Reports they distribute.
• Compliance with applicable laws and organizational policies.
• Obtaining any required permissions or consents.

13.5 Educational Decisions

AnecNote is a documentation platform.

The Service does not make educational, disciplinary, safeguarding, legal, medical, psychological, therapeutic, employment, or administrative decisions.

Educators and educational organizations remain solely responsible for all professional decisions and actions taken based on information created or processed through the Service.

To the fullest extent permitted by applicable law, anecNote shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to:

• Your use of, or inability to use, the Service.
• AI-generated outputs.
• Loss of profits.
• Loss of revenue.
• Loss of goodwill.
• Loss of business opportunities.
• Loss of anticipated savings.
• Business interruption.
• Loss or corruption of data.
• Procurement of substitute services.

This limitation applies regardless of the legal theory asserted, including contract, tort (including negligence), strict liability, or otherwise, even if anecNote has been advised of the possibility of such damages.

14.2 Maximum Liability

To the fullest extent permitted by applicable law, anecNote’s aggregate liability arising out of or relating to these Terms or the Service shall not exceed:

• For paid subscriptions: the total subscription fees paid by you to anecNote for the twelve (12) months immediately preceding the event giving rise to the claim.
• For free users: US$100 or the maximum amount permitted by applicable law, whichever is greater.

These limits apply collectively to all claims arising from the same or related events.

14.3 Exceptions

The limitations in this Section do not apply to liability that cannot legally be limited or excluded under applicable law.

Nothing in these Terms limits or excludes liability for:

14.5 User Responsibility

• You are responsible for reviewing AI-generated content before use.
• You are responsible for maintaining appropriate backups or exports of important records where necessary.
• You are responsible for complying with applicable laws and organizational policies.
• Professional educational decisions remain your responsibility.

These responsibilities are an important part of the allocation of risk reflected in these Terms.

14.6 Basis of the Bargain

You acknowledge that the pricing of the Service and the availability of free offerings are based, in part, on the allocation of risk set forth in these Terms.

The limitations of liability and disclaimers contained in these Terms form an essential basis of the agreement between you and anecNote. Without these limitations, anecNote would not be able to provide the Service on the same commercial terms.

14.7 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain damages or liabilities.

Where such laws apply, portions of this Section may not apply to you to the extent prohibited by applicable law. In those cases, anecNote’s liability will be limited to the greatest extent permitted by applicable law.

15. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless anecNote, its affiliates, officers, directors, employees, contractors, licensors, service providers, successors, and assigns from and against any third-party claims, demands, actions, proceedings, damages, judgments, settlements, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of applicable law.
• Your infringement of another person’s intellectual property or other legal rights.
• Content you create, upload, publish, or distribute through the Service.
• Your misuse of Anec Assist or other features of the Service.
• Your negligent, fraudulent, or intentionally wrongful acts or omissions.

This obligation applies only to the extent the claim arises from your actions or omissions and not from anecNote’s own breach of these Terms, negligence, willful misconduct, or other conduct for which anecNote is legally responsible.

15.1 Educational Organizations

Where you use the Service on behalf of a school, school district, childcare provider, or other educational organization, this Section applies to the extent permitted by applicable law and subject to any separate written agreement between anecNote and that organization.

Nothing in these Terms is intended to override contractual obligations separately negotiated with an educational organization.

15.2 Cooperation

If anecNote seeks indemnification under this Section, we will:

• Promptly notify you of the claim, unless prohibited by law or where doing so would prejudice the defense of the claim.
• Provide reasonable cooperation in the defense of the claim, at your expense where appropriate.
• Allow you to assume control of the defense and settlement of the claim, provided that your defense is conducted diligently and does not adversely affect anecNote’s interests.

AnecNote reserves the right to participate in the defense of any claim using counsel of its own choosing at its own expense.

15.3 Settlement

You may not settle any claim covered by this Section in a manner that:

• Admits liability on behalf of anecNote.
• Imposes obligations on anecNote.
• Restricts anecNote’s rights.
• Requires anecNote to take or refrain from taking any action.

Any settlement affecting anecNote requires anecNote’s prior written consent, which will not be unreasonably withheld, conditioned, or delayed.

15.4 Exclusions

Your indemnification obligations do not apply to claims arising solely from:

• AnecNote’s breach of these Terms.
• AnecNote’s fraud or fraudulent misrepresentation.
• AnecNote’s gross negligence or willful misconduct, where applicable.
• Any liability that cannot legally be transferred or limited under applicable law.

15.5 Survival

The obligations contained in this Section survive the suspension, termination, or expiration of your account and these Terms to the extent necessary to resolve claims arising from events that occurred while these Terms were in effect.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws specified in this Section. Before initiating formal legal proceedings, both parties are encouraged to make reasonable efforts to resolve disputes through good-faith discussions.

16.1 Good-Faith Resolution

If a dispute, claim, or controversy arises out of or relates to these Terms or the Service, the parties agree to first attempt to resolve the matter through informal, good-faith discussions.

Either party may notify the other of the dispute in writing, describing the nature of the issue and the relief sought.

The parties will use reasonable efforts to resolve the dispute before commencing formal legal proceedings, unless immediate legal action is necessary to protect legal rights or comply with applicable law.

16.2 Governing Law

Unless otherwise required by applicable law or a separate written agreement, these Terms are governed by the laws of the State of New York, United States, without regard to its conflict of laws principles.

Nothing in this Section deprives consumers or other users of mandatory legal protections available under the laws of their place of residence where such protections cannot be waived.

16.3 Jurisdiction and Venue

Subject to applicable law, the state and federal courts located in the State of New York shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.

Each party consents to the personal jurisdiction of those courts.

Where applicable law grants a user the right to bring proceedings in another jurisdiction, nothing in these Terms limits those mandatory legal rights.

16.4 Educational Organizations

Where anecNote enters into a separate written agreement with a school, school district, childcare provider, educational organization, or enterprise customer, that agreement may contain different provisions relating to governing law, jurisdiction, venue, dispute resolution, or liability.

In the event of a conflict, the separately negotiated written agreement will control to the extent of the conflict.

16.5 Injunctive Relief

Nothing in these Terms prevents either party from seeking temporary, preliminary, or permanent injunctive or equitable relief where necessary to:

• Protect confidential information.
• Protect intellectual property rights.
• Prevent unauthorized access to the Service.
• Prevent misuse of the Service.
• Comply with applicable law.

Seeking such relief does not waive any other rights or remedies available under these Terms or applicable law.

16.6 Time Limit for Claims

To the fullest extent permitted by applicable law, any claim arising out of or relating to these Terms or the Service must be brought within one (1) year after the claim arose or reasonably should have been discovered.

This limitation does not apply where a longer period is required by applicable law or cannot legally be shortened.

16.7 Severability of Dispute Provisions

If any provision of this Section is determined to be invalid, unenforceable, or unlawful, the remaining provisions will continue in full force and effect to the fullest extent permitted by applicable law.

Anec Assist generates suggestions that require human review and approval.

Authorized User

An individual who has been granted permission to access the Service through an individual subscription or an organizational account.

Service

The anecNote platform, including its websites, web applications, mobile applications, software, artificial intelligence features, documentation, APIs, integrations, and related services provided by anecNote.

Subscription

A free, paid, organizational, or enterprise plan that grants access to specified features of the Service.

User

Any individual who accesses or uses the Service, including educators, school staff, administrators, specialists, counselors, organizational users, and authorized representatives.
